Overview

Legal Counsel will provide, under the supervision of Legal Counsel and in close cooperation with the rest of Corporate Legal team members, as well as other Werfen stakeholders, legal support to all Werfen affiliates and business units, with a particular focus on Corporate Governance.

Legal counsel will aim to protect and enforce key rights, facilitating business transactions, providing continued preventative legal advice and defending Werfen’ interests in order to mitigate legal risks.

Key Accountabilities

Provide, under the supervision of Legal Counsel, recurrent legal support to Werfen affiliates and business units, with special focus on Corporate Governance, including:

  • With regard to corporate matters:
  • Monitoring compliance with legal obligations of Werfen subsidiaries and coordination with external counsels, including monitorization of compliance with Werfen policies and supervision of corporate governance software.
  • Preparation of recurring documentation of a corporate nature (minutes of meetings, financial statements, etc.).
  • Handling the incorporation, merger, winding up, spin-off and any other corporate' reorganization.
  • Drafting, review, negotiation and provision of recurrent legal advice in relation to all kind of contracts such as manufacturing, procurement, supply, OEM, distribution, agency, transport, logistics, license, material transfer agreements, clinical studies, consultancy, financing, real estate, services’ provision, public tenders and interactions with health care professionals.

 

Networking/Key relationships

To be determined based on department needs, but in principle cooperation and interaction with all business units of the different Werfen companies, with particular focus on Corporate departments (such as Finance & Control, Tax, Compliance, QA/RA, Internal Audit, IT, Logistics, HR etc.) as well as with the controllers of Werfen subsidiaries.

Qualifications

Minimum Knowledge & Experience required for the position:

  • Education: Law Bachelor. Master in Commercial Law or Business Law will be a plus.
  • Experience:
  • At least three (3) years of proven experience in commercial and corporate law, either at a big or medium-sized multinational company, large or medium-sized law firm or at a big four (secondments in multinational companies will be a plus).
  • Additional Skills / Knowledge:
  • Sound legal knowledge.
  • Language: English proficiency.

Travel requirements:
